<h2 class="sh">1 Services</h2>
<div class="cl"><div class="cln">1.1</div><div>The Provider shall maintain the equipment listed in schedule 1 in accordance with the manufacturer's recommendations and the visit frequency in schedule 2.</div></div>
<div class="cl"><div class="cln">1.2</div><div>Planned maintenance comprises inspection, calibration, consumable replacement, and a written report issued within five business days of each visit.</div></div>
<div class="cl"><div class="cln">1.3</div><div>Breakdown attendance is provided during business hours, being 7.00 a.m. to 5.00 p.m. Eastern time on business days, with response times as set out in clause 3.</div></div>
<div class="cl"><div class="cln">1.4</div><div>Work outside the scope above, including repairs arising from misuse, unauthorised modification or failure of utilities, is chargeable at the rates in schedule 3.</div></div>
<h2 class="sh">2 Charges and payment</h2>
<div class="cl"><div class="cln">2.1</div><div>The annual charge is 28,800 dollars, invoiced monthly in advance at 2,400 dollars, exclusive of sales tax.</div></div>
<div class="cl"><div class="cln">2.2</div><div>Invoices are payable net thirty days. Interest accrues on late payment at 1.5 percent per month or the maximum rate permitted by law, whichever is lower.</div></div>
<div class="cl"><div class="cln">2.3</div><div>The annual charge may be adjusted once in any twelve-month period on sixty days' written notice, by not more than the increase in the Consumer Price Index for urban wage earners over the preceding year plus two percent.</div></div>

<div class="cl" style="margin-top: 9pt"><div class="cln">3.1</div><div>Service credits are the Customer's sole financial remedy for missed response times and are applied against the following month's invoice. Total credits in any contract year shall not exceed fifteen percent of the annual charge.</div></div>

<h2 class="sh first">4 Customer obligations</h2>
<div class="cl"><div class="cln">4.1</div><div>The Customer shall provide safe and timely access to the equipment, a competent escort where required by its site rules, and current safety data for any process material present.</div></div>
<div class="cl"><div class="cln">4.2</div><div>The Customer shall operate the equipment in accordance with the manuals and shall not permit anyone other than the Provider to work on it during the term.</div></div>
<h2 class="sh">5 Liability</h2>
<div class="cl"><div class="cln">5.1</div><div>Neither party is liable for indirect or consequential loss, including loss of profit, revenue or data, however arising.</div></div>
<div class="cl"><div class="cln">5.2</div><div>The Provider's total liability under this agreement in any contract year is limited to the charges paid in that year, save that nothing limits liability for death or personal injury caused by negligence, or for fraud.</div></div>
<div class="cl"><div class="cln">5.3</div><div>The Provider maintains commercial general liability insurance of not less than two million dollars per occurrence and shall furnish a certificate on request.</div></div>
<h2 class="sh">6 Term and termination</h2>
<div class="cl"><div class="cln">6.1</div><div>This agreement runs for twelve months from 1 October 2026 and renews automatically for further twelve-month terms unless either party gives sixty days' written notice before the end of the then current term.</div></div>
<div class="cl"><div class="cln">6.2</div><div>Either party may terminate immediately if the other commits a material breach and fails to remedy it within thirty days of written notice, or becomes insolvent.</div></div>
<h2 class="sh">7 General</h2>
<div class="cl"><div class="cln">7.1</div><div>The Provider may subcontract elements of the services but remains responsible for their performance and for the conduct of its subcontractors on site.</div></div>
<div class="cl"><div class="cln">7.2</div><div>This agreement, its schedules and any purchase order issued under it form the entire agreement; the Customer's standard purchase conditions do not apply.</div></div>
<h2 class="sh">8 Governing law</h2>
<div class="cl"><div class="cln">8.1</div><div>This agreement is governed by the laws of the State of Ohio and the parties submit to the exclusive jurisdiction of the courts sitting in Cuyahoga County, Ohio.</div></div>
